The resolution is to establish a new subsidiary as the following details: New Subsidiary Name: Loxley Mobile Company Limited Transaction Date: April 2011 Registered Capital: Baht 20 million divided into 200,000 ordinary shares. The par value per share is Baht 100.00 Objective: To operate the MVNO 3G business Structure of Shareholding: Loxley Public Co., Ltd. holds 99.99% of the registered shares. List of Directors: 1.
